Subject: Notification of the Share Purchase of EDL Gen's IPO
Attention: The President of the Stock Exchange of Thailand
Ratchaburi Electricity Generating Holding Public Company Limited ("the Company") would like to inform the Stock Exchange of Thailand that the Company through its subsidiaries (the Company holds 99.99 per cent stakes) which are RATCH-Lao Services Company Limited and RH International (Singapore) Corporation Pte. Ltd. were allotted the Initial Public Offering (IPO) of Electricite du Laos-Generation Public Company ("EDL Gen"). RATCH-Lao Services Company Limited was allotted the 56.112 million shares and RH International (Singapore) Corporation Pte. Ltd. was allotted 25 million shares totaling 81.112 million shares equivalent to 9.345 percent of EDL Gen's shares. The purchase value was 43,364,615.19 USD or 1,315,101,339.02 Baht.
According to the returns criteria, when comparing the investment amount with the Company's total net asset, the transaction size is valued at 1.9 per cent of the Company's net asset with reference to the Company's financial statement as of 30th September 2010. The asset acquisition is regarded as a small size one (the value of the transaction is lower than 15 per cent of the Company's net asset).
EDL Gen is a power generation in Lao PDR 75 per cent of its shares held by the Electricite de Laos, a state owned enterprise. Its shares is the first security to be traded in Lao PDR's Stock Exchange on 11th January 2011. The dividend policy of EDL Gen is to pay not less than 50 per cent of its net profit.
This transaction is made according to the Company's expanding investment plan in overseas market and confirm its long term investment in Lao PDR that one of potential target. The source of fund of this investment is from the Company's capital and it will receive dividend according to share holding proportion.
