Subject: Notification on the Investment in the Solar Power Project
Attention: The President of the Stock Exchange of Thailand
Ratchaburi Electricity Generating Holding Public Company Limited ("the Company") would like to inform the Stock Exchange of Thailand that Ratchaburi Energy Company Limited, the subsidiary wholly owned by the Company, invested in the Solar Power Project ("the Project") through the acquisition of shares in Yanhee Solar Power Company Limited; the Project Developer, at 60 per cent. The Share Purchase Agreement and the Shareholders Agreement were signed on 19th July 2010. The details are as follows.
1. Project Description:
Currently, Yanhee Solar Power Company Limited has been developing 3-megawatt Sai Sena Solar Power Project located in Sena District, Phra Nakhon Si Ayutthaya Province. The Project has Non-Firm Power Purchase Agreement for very small power producer using renewable energy, with the Provincial Electricity Authority and it is subsidized with 8 Baht per kWh adder from the Power Department Fund Management Division, Office of the Energy Regulatory Commission for 10 years. The commercial operation of 3-megawatt generating capacity is expected by October 2010.2. The Investment Objectives:
To expand the investment opportunity into solar power generation that is a clean energy and corresponds to the government policy promoting alternative and green energy.3. The Project Developer and Investment Proportion:
Yanhee Solar Power Company Limited has the registered capital of 250 million Baht which are divided into 2,500,000 ordinary shares, valuing 100 Baht each. Ratchaburi Energy Company Limited made its investment at 60 per cent and the former shareholders at 40 per cent.4. Expected Benefits:
The Company will obtain the return from the investment in the Project according to its shareholding and the entering into the Project development is in line with the Company's goal to expand its business towards the alternative energy and also meets with the government policy regarding alternative and green energy. In addition, this will create further opportunity for the Company in the investment and development of the solar power generation.Please be informed accordingly and kindly disseminate the information herein to investors.
